1. Introduction

Canversi SRL ("PixandFlow", "we", "us") provides PixandFlow, a cloud-based AI design platform that enables users to automatically generate professional banner ads, social media visuals, and campaign creatives in multiple formats and dimensions. Our services use artificial intelligence to create and optimize designs for platforms such as Google, Meta, Instagram, TikTok, LinkedIn, and others. Our registered office is in Romania, and we provide services worldwide.

These Terms and Conditions (the "Terms") form a binding contract between PixandFlow and any person or entity ("Customer", "you") who accesses or uses the Services. By using the Services, you confirm that you have the legal capacity and authority to accept these Terms. If you do not agree, you must refrain from use.

2. Definitions

For the purpose of these Terms, the following definitions apply. "Account" means the user credentials that may be required to access the Services. "Platform" means all software, APIs, dashboards, workflows, AI models, integrations and features made available by PixandFlow. "User Content" means any data, text, files, video, audio or other material you upload or provide to the Services. "Customer Data" means all data, including personal data, that PixandFlow processes on your behalf. "Creative Output" means content generated by the AI in response to your prompts. "Business User" means any person or entity using the Services for business or professional purposes. "Consumer" means a natural person using the Services outside a trade or profession, as defined in EU law. "AI Governance" means PixandFlow's internal framework for transparency, fairness, bias mitigation and accountability in AI use.

3. Core Principles

PixandFlow operates the Services according to several principles.

First, we are committed to ethics, transparency, and AI Governance, which includes disclosure of when outputs are AI-generated, fairness in automated processes, bias mitigation, and accountability in the use of artificial intelligence.

Second, we apply privacy by design, ensuring compliance with GDPR, CCPA, and other global privacy laws.

Third, we maintain security aligned with industry best practices, including controls inspired by ISO/IEC 27001 and application security measures based on the OWASP Top 10 framework.

Fourth, we ensure accessibility, committing to WCAG 2.1 AA standards and full compliance with the European Accessibility Act (Directive (EU) 2019/882) by 28 June 2025.

Finally, we guarantee fair treatment, respecting both Consumers' statutory rights and Business Users' contractual expectations.

4. Acceptance of Terms

You form a binding agreement with PixandFlow when you create an Account, click to accept, or otherwise use the Services. If you act on behalf of a company, you confirm that you are authorised to bind that company to these Terms.

5. Modification of Terms

We may update these Terms at any time. A revised version with a new "Last updated" date will be posted on our website. For material changes we will provide at least thirty (30) days' prior notice to registered Accounts, unless a shorter period is required by law. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

6. Description of Services

PixandFlow is an AI-powered design platform that automatically generates professional banner ads and marketing visuals in multiple formats and dimensions. Users can upload screenshots, URLs, or brief descriptions, and PixandFlow's artificial intelligence instantly produces ready-to-use creatives optimized for platforms such as Google, Meta, Facebook, Instagram, TikTok, LinkedIn, and others.

The Services allow users to create, customize, and export banners and images for various campaigns and social media channels. Future services may include paid subscriptions, advanced customization features, APIs, and enterprise-level support.

7. Eligibility and Accounts

The Services are available only to persons aged eighteen (18) or older. Where Accounts are enabled, you must provide accurate information, keep your credentials secure and promptly update details. PixandFlow may suspend or terminate Accounts in case of breach of these Terms.

8. Intellectual Property

All intellectual property rights in the Platform, software, AI models, code, documentation and branding belong to PixandFlow or its licensors. You are granted a limited, revocable, non-exclusive and non-transferable licence to access and use the Services in accordance with these Terms. You may not reverse-engineer, decompile or create derivative works of the Platform, except where permitted by law.

9. User Content and Creative Output

You retain ownership of your User Content. By uploading such content, you grant PixandFlow a worldwide, royalty-free licence to host, process, display and use it solely to operate and improve the Services. You also retain rights in Creative Output to the extent permitted by law. However, PixandFlow makes no representation that Creative Output is unique or accurate, and you are solely responsible for verifying its suitability before use. Suggestions, ideas, or requests you provide to improve the Platform ("Feedback") may be used by PixandFlow freely and without obligation.

10. Acceptable Use and Code of Conduct

You agree not to: (a) use the Services in violation of any law or third-party rights; (b) upload or distribute unlawful, discriminatory, defamatory or harmful content; (c) engage in fraudulent practices such as ad-fraud or click-fraud; (d) distribute malware, attempt to gain unauthorised access, or scrape or harvest data; (e) benchmark or replicate the Services for the purpose of building a competing product; or (f) provide the Services in restricted territories subject to sanctions or export-control laws. PixandFlow may suspend or terminate your access immediately in case of violation.

11. Privacy and Data Processing

Personal data is processed in accordance with our Privacy Policy. Where PixandFlow acts as processor of Customer Data, processing is limited to providing the Services; PixandFlow implements appropriate technical and organisational measures, transfers outside the EEA rely on Standard Contractual Clauses, and any personal-data breach will be notified without undue delay and in any case within seventy-two (72) hours. You may conduct a reasonable audit once per year, subject to confidentiality obligations.

12. Fees, Payment and Renewal

Customer shall pay all fees as specified upon subscription. Fees are non-refundable unless expressly stated otherwise. Unless otherwise agreed, billing occurs in advance on a recurring basis. Fees are exclusive of applicable taxes and the Customer is responsible for all such taxes other than those on PixandFlow's income. Subscriptions renew automatically unless cancelled prior to the renewal date. PixandFlow may, from time to time, offer promotional discounts, free credits, or trial periods ("Promotions"). All Promotions are offered at PixandFlow's sole discretion, may be subject to eligibility criteria or time limitations, and can be modified, suspended, or withdrawn at any time without notice. Any discount codes or free credits have no monetary value, are non-transferable, and cannot be exchanged for cash or future credits unless expressly permitted by PixandFlow.

13. AI and Beta Disclaimer

Creative Output is generated by probabilistic models and may be inaccurate, biased or non-unique. PixandFlow provides no guarantee of commercial success. The Services may change or be withdrawn at any time. No service-level commitments apply during the beta phase. Creative Output does not constitute legal, financial or professional advice.

14. Service Availability and Support

PixandFlow is hosted on Amazon Web Services (AWS) and employs commercially reasonable efforts to maintain stable operation and service performance. PixandFlow provides reasonable technical support via email and community channels, which users can access through the "Contact Us" section of the website.

Additional support options and service commitments, including uptime targets and response times, may be introduced in future paid plans and governed by a dedicated Service Level Agreement (SLA).

15. Warranties and Disclaimers

The Services are provided "as is" and "as available". PixandFlow disclaims all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.

16. Limitation of Liability

To the fullest extent permitted by law, PixandFlow's total liability shall be limited to the greater of (a) one hundred (100) euros or (b) the fees paid by you in the twelve (12) months preceding the claim. PixandFlow is not liable for indirect, incidental, consequential, special or punitive damages, including lost profits, revenue or data. Nothing in these Terms limits liability for death, personal injury, fraud, gross negligence or any other liability that cannot legally be limited.

17. Indemnification

You agree to indemnify and hold harmless PixandFlow, its affiliates and employees for any claim, damage or expense arising out of your User Content, Creative Output, use of the Services or violation of these Terms.

18. Termination and Suspension

You may stop using the Services at any time. PixandFlow may suspend or terminate access immediately if you breach these Terms, fail to pay fees or if required by law. Upon termination, all licences granted shall cease, while obligations relating to fees, confidentiality, liability, indemnification and governing law shall survive.

19. Governing Law and Dispute Resolution

These Terms are governed by Romanian law. Business Users agree that any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved exclusively before the competent courts of Oradea, Romania. Consumers retain all mandatory protections under their national law and may use the EU Online Dispute Resolution (ODR) platform. Before initiating litigation, the parties shall make good-faith efforts to resolve any dispute within thirty (30) days after receiving written notice.

20. Consumer Rights

Consumers have the right to withdraw from distance contracts within fourteen (14) days of conclusion by sending a clear statement to hello@pixandflow.com. For paid Services, Consumers benefit from the statutory guarantee of conformity for digital content under Directive (EU) 2019/770.

21. Force Majeure

Neither party shall be liable for failure to perform obligations under these Terms owing to events beyond reasonable control, including natural disasters, war, terrorism, labour disputes, government orders, internet outages or failures of third-party providers.

22. Assignment

PixandFlow may assign these Terms in connection with a merger, acquisition or sale of assets. You may not assign your rights or obligations without PixandFlow's prior written consent.

23. Language and Interpretation

These Terms are drafted in English. A Romanian translation is available upon request. In case of discrepancies, the English version shall prevail. Headings are for convenience only and do not affect interpretation.

24. Entire Agreement

These Terms constitute the entire agreement between you and PixandFlow and supersede all prior agreements on the subject matter.
